These Terms of Service (the "Terms") are a binding legal agreement between you ("you", "your", or "user") and Quantum Scale ("we", "us", "our", or "Quantum Scale") governing your access to and use of the quantum-scale.co website, the Quantum Scale platform, APIs, mobile experiences, educational content, calculators, tools, and any related services (collectively, the "Platform").
By accessing, browsing, registering, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Platform.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and are not located in, under the control of, or a national or resident of any country that is subject to a comprehensive embargo by the country in which we operate, and that you are not on any list of restricted or prohibited persons (including but not limited to the OFAC SDN list).
If you are using the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" and "your" refers to that organization.
Quantum Scale is an educational platform for eCommerce entrepreneurs. We provide lessons, courses, strategy checklists, calculators, design references, prompt libraries, bookmarks, planning tools, product discovery, and curated recommendations for third-party software and services. The specific features available on the Platform may change over time at our discretion, without notice.
The Platform is currently provided at no monetary cost to the user, although certain features may be introduced on a paid or subscription basis in the future. Quantum Scale's primary revenue comes from affiliate commissions paid by third-party tools we recommend. See Section 6 (Affiliate Disclosure) for details.
To access most features you must create an account. You agree to provide accurate, current, and complete information, and to keep your account information up to date. You are solely responsible for (i) maintaining the confidentiality of your credentials, including any multi-factor authentication codes, (ii) all activities that occur under your account, and (iii) notifying us immediately of any unauthorized use, breach, or suspicious activity. We will not be liable for any loss arising from unauthorized use of your account where we were not reasonably on notice of the unauthorized activity.
You may not share your account credentials, allow other individuals to use your account, or transfer your account to anyone else without our express written consent. One account per person.

We reserve the right to investigate suspected violations of these Terms, remove content, suspend features, and terminate accounts in accordance with Section 12.
The Platform and all content and materials available on it — including courses, lessons, slides, strategy checklists, calculators, code, designs, logos, graphics, illustrations, copy, prompt libraries, curated resource lists, software, and organisational structures — are the property of Quantum Scale or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business purposes, strictly in accordance with these Terms. No other rights are granted. All rights not expressly granted are reserved.
You retain ownership of content you submit, post, or upload to the Platform ("User Content"). By submitting User Content, you grant Quantum Scale a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works from, communicate, publish, publicly perform, publicly display, and distribute such User Content for the purpose of operating, improving, promoting, and developing the Platform and Affiliated Products (as defined in the Privacy Policy). You represent and warrant that (i) you own or have obtained all rights necessary to grant this license, (ii) your User Content does not infringe any third party's rights, and (iii) your User Content complies with these Terms and applicable law.
If you send us feedback, suggestions, ideas, bug reports, or other inputs, you grant us an unlimited, irrevocable, perpetual, royalty-free right to use and incorporate that feedback into the Platform or any other product or service, without any obligation to you.
If you believe material on the Platform infringes your copyright, send a written notice to the email address in Section 18 including: (a) a physical or electronic signature of the rights owner or authorised agent; (b) identification of the work claimed to have been infringed; (c) identification of the allegedly infringing material and information sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorised by the rights owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorised to act.
A material portion of Quantum Scale's revenue is generated from affiliate, referral, and revenue-share arrangements with third-party providers. Many of the tools, apps, software, suppliers, and services we recommend on the Platform are covered by such arrangements. When you click an affiliate link, sign up, install, activate, complete a trial, or take other qualifying actions with those partners, we may receive a commission, bounty, flat fee, or ongoing revenue share, at no additional cost to you.
We take editorial independence seriously and only recommend tools we believe in. A partner cannot purchase a recommendation, and we do not tier recommendations based on payout rate alone. However, you should assume that any external link on the Platform may be an affiliate link. Where required by applicable law (including United States Federal Trade Commission guidelines on endorsements), we also disclose the relationship in the immediate surrounding context.
Partner products are not operated by Quantum Scale. Your use of any partner product is governed by that partner's own terms of service and privacy policy, which we encourage you to review before signing up. Quantum Scale is not a party to your relationship with the partner and is not responsible for the partner's performance, billing, support, downtime, accuracy of information, or any loss you may suffer as a result of using the partner's product. You agree that any dispute about a partner product must be resolved directly with the partner.
By using the Platform, you acknowledge and agree that Quantum Scale and its owners operate or may in the future operate additional software products, services, or digital products (collectively, the "Affiliated Products"). As described in our Privacy Policy (Section 4.3), Quantum Scale may use and share your information with Affiliated Products for purposes such as unified sign-in, cross-product feature continuity, aggregated analytics, shared fraud prevention, and promotion of Affiliated Products to you. Affiliated Products are bound by data protections no less protective than those applicable to Quantum Scale.
Deletion of your Quantum Scale account will, to the extent reasonably possible, trigger deletion of associated data within Affiliated Products that are linked to the same identity, subject to the retention obligations described in the Privacy Policy.
Certain parts of the Platform may be made available as a beta, preview, alpha, experimental, or free feature ("Beta Features"). Beta Features are provided "as is", may change or be removed at any time without notice, and may contain bugs, errors, or reliability issues. You use Beta Features at your own risk. Feedback about Beta Features is governed by Section 5.3.
The Platform provides educational and informational content related to eCommerce, marketing, and business operations. Nothing on the Platform constitutes financial, investment, legal, accounting, tax, medical, or other professional advice. Content is provided for general informational purposes and should not be relied upon as a substitute for consultation with a qualified professional familiar with your specific circumstances. Any decisions you make based on information from the Platform are your own responsibility.
We do not guarantee any specific outcome, including revenue, profit, cost savings, conversion rate, growth rate, customer acquisition, or other business or financial results. eCommerce involves risk and outcomes depend on many factors outside our control — including your skill, effort, market, timing, capital, and luck. Past performance of other users is not indicative of future results for you.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, Quantum Scale disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, reliability, freedom from error, and uninterrupted or secure operation. We do not warrant that the Platform will meet your requirements, that any defects will be corrected, or that the Platform or its servers are free of viruses or harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QUANTUM SCALE, ITS OWNERS, AFFILIATED PRODUCTS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, SAVINGS, OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ANY CONTENT AVAILABLE THROUGH IT — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by law, Quantum Scale's aggregate liability to you for any claim arising out of or relating to the Platform or these Terms — whether in contract, tort, strict liability, or otherwise — shall not exceed the greater of (a) the amount you paid to Quantum Scale in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100). The existence of more than one claim shall not enlarge this limit.
Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless Quantum Scale, its owners, Affiliated Products, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property, publicity, confidentiality, property, or privacy right; or (e) any dispute between you and a third party (including any affiliate partner). We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
We may suspend, limit, or terminate your access to the Platform at any time, with or without notice and with or without cause, including (without limitation) if we believe you have violated these Terms, if we are required to do so by law, if we decide to discontinue the Platform or any feature, or for operational or business reasons. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 4, 5, 6, 7, 10, 11, 12, 13, 14, 15, 16, 17, 18) shall survive.
You may terminate your account at any time via your profile settings (which triggers our deletion process — see the Privacy Policy for details) or by contacting us.
We may modify, add, remove, or discontinue any part of the Platform at any time, with or without notice. We may also update these Terms from time to time. When we make material changes we will update the "Last updated" date at the top and, where appropriate, notify you by email or in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to a modification, you must stop using the Platform and may close your account.
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of Israel, excluding its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing any formal claim, you and Quantum Scale agree to attempt to resolve the dispute informally. Please contact us via the email address in Section 18 with a written description of the dispute. We will make reasonable efforts to resolve it promptly.
If the dispute is not resolved within thirty (30) days of informal notice, you and Quantum Scale agree to resolve any claim, controversy, or dispute arising out of or relating to these Terms or the Platform exclusively through final and binding arbitration administered by a reputable arbitration institution mutually agreeable to the parties, or, absent agreement, under the Rules of the Israeli Institute of Commercial Arbitration. The arbitration shall take place in Tel Aviv, Israel, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
You and Quantum Scale each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate the claims of more than one user and may not otherwise preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable, then the entirety of Section 15.3 shall be null and void, but the remainder of these Terms shall continue in effect.
Notwithstanding Sections 15.3 and 15.4, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.
If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction with mandatory consumer-protection laws that cannot be waived, nothing in these Terms is intended to limit rights granted to you under those laws. In particular, the limitations of liability in Section 11 do not apply to losses that cannot be excluded or limited by applicable law (for example, liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation).
